NFT - Terms of Service

These Terms of Service constitute a legally binding agreement between you and Pietro Gaudenzi & Cristiana De Zanche (aka Dung Beetle Fight Lab), governing your rights as an owner of Non-Fungible Token (“NFT”) minted or distributed on digital ledgers or blockchain, that reflects the artworks (either digital or traditional) created by Dung Beetle Fight Lab (the “NFT Artworks”).

For purpose of these Terms of Service, “we”, “us”, or “our” means Dung Beetle Fight Lab.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAINED IMPORTANT INFORMATION RELATING TO THE ACQUISITION OF OUR NFT Artworks. BY ACQUIRING OUR NFT ARTWORKS, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

• LICENSE TO NFT ARTWORKS
  ‍Subject to this Term of Service, we grant you a limited, personal, non-exclusive, non-sublicensable, non-assignable (except pursuant to the transfer of your NFT Artworks, as specified in the following section 3) worldwide license to display and use the NFT Artworks solely and exclusively for personal, non-commercial use (“Licensed NFT Artworks”).

• TRANSFER OF YOUR LICENCED NFT ARTWORKS
  ‍You have the limited right to transfer the Licensed NFT Artworks to third parties, provided that: (i) before performing the transfer, you provide written notice to the transferee of these Terms of Service; (ii) you have not prior to the transfer breached these Terms of Service; (iii) prior to the transfer these Terms of Service have not been terminated; (iv) you pay (or cause to be paid) the applicable royalty in accordance with Section 6 below.
  

• RESTRICTION
  ‍Based on these Terms of Service, you may not, nor permit any third party to do or attempt to do any of the following without our express prior written consent: (i) modify or prepare any derivative work based upon the Licensed NFT Artworks, including but not limited to any modification relate to the shape, designs, drawings, attributes, or colour schemes; (ii) commercialize, in whole or in part, directly or indirectly, the Licensed NFT Artworks; (iii) register or attempt to register any trademarks, copyright or otherwise intellectual property rights in or to any Licensed NFT Artworks; (iv) use the Licensed NFT Artworks to advertise, market, or sell any product or service; (v) use the Licensed NFT Artworks to create, support, promote any content, martial, document or speech that is defamatory, pornographic, abusive, offensive, violent, racist or, in any case, use the Licensed NFT Artworks in any manner that infringe or could infringe applicable law or regulations; (vi) use the Licensed NFT Artworks in movies, videos, or any other forms of media, except solely for your own personal and non-commercial use.
  

• ROYALTY
  ‍If you assign to a third party the Licensed NFT Artworks, you shall pay us a royalty equal to 10% of the total amount paid by the transferee. The platform on which you perform the transfer may automatically track, collect and pay us the royalty, which payment would fulfill your obligation to pay the applicable royalty.
  

• TERMINATION
  ‍The Licensed NFT Artworks shall automatically and immediately terminate if at any time you breach, wholly or in part, directly or indirectly, these Terms of Service.

• GOVERNING LAW AND JURISDICTION
  ‍These Terms of Service and any issues or disputes arising out of or in connection with it, shall be governed by and construed in accordance with the Italian law and subject to the exclusive jurisdiction of the Court of Milan.
